Terms of Service (B2B)

1. Parties and scope
These Terms govern use of the service by businesses and professionals. By contracting, the customer declares they act within their professional activity.
2. Service — Obligation of means
BootandStrap provides access to the SaaS and, where applicable, professional services. The specific scope is defined in the offer, order, or service annex. BootandStrap assumes an obligation of means, not of result. This means we commit to employing best practices and reasonable efforts to achieve agreed objectives, without guaranteeing specific commercial outcomes such as SEO ranking, revenue increase, or customer acquisition.
3. Availability and maintenance
The service is provided "as is" and "as available". BootandStrap applies reasonable efforts to maintain availability, without absolute guarantees. Target service levels are detailed in the SLA document.
4. Customer obligations
The customer is responsible for:
- The accuracy of the information and content provided.
- Compliance with sector-specific regulations and applicable laws.
- Obtaining required consents from their end users.
5. Payments
Fees are billed according to the subscribed plan. Non-payment may result in suspension of the service.
5.1 Third-party costs (APIs)
Module prices cover software configuration, integration and maintenance. They DO NOT include usage costs for external services (e.g., WhatsApp Business API, OpenAI, Google Maps) required for operation. These costs are billed directly by the provider to the customer or passed through if agreed, and remain the sole responsibility of the customer.
6. Intellectual property and license
BootandStrap retains all rights to the platform. The customer receives a limited, non-exclusive and revocable license to use the service during the term of the contract.
7. Customer content
The customer warrants that its content does not infringe third-party rights and assumes full responsibility. BootandStrap does not legally review or validate customer content.
8. Subprocessors and third parties
The service may rely on third parties (e.g., Stripe, Supabase, hosting). Their use is subject to their own terms. BootandStrap is not responsible for interruptions or failures attributable to third parties.
8.1 AI and third-party technologies
BootandStrap integrates artificial intelligence technologies provided by third parties (such as OpenAI). BootandStrap is not the owner, creator, or party responsible for these technologies. We do not guarantee the accuracy, availability, or continuity of third-party AI services. Changes to pricing, usage policies, or availability of these services are outside BootandStrap's control.
9. Limitation of liability
To the maximum extent permitted by law:
- No liability for indirect damages, loss of profit, loss of data, or reputational harm.
- Aggregate liability is capped at the fees paid in the 12 months before the claim event. Exceptions apply for willful misconduct, gross negligence, personal injury, or mandatory law.
10. Indemnification
The customer agrees to indemnify and hold harmless BootandStrap, its directors, employees, and contractors against any claims, damages, costs, or expenses (including reasonable attorney fees) arising from: (a) the customer's use of the service, (b) breach of these Terms by the customer, (c) content provided by the customer, or (d) the customer's failure to comply with applicable law.
11. Term and termination
The agreement remains in force while there is an active subscription. Either party may terminate according to the plan conditions, respecting notice periods and any outstanding payments.
12. Governing law and jurisdiction
Unless mandatory rules provide otherwise, Suiza law applies and the courts of Basilea shall have jurisdiction.
13. Force majeure
Neither party is liable for delays or non-performance caused by events outside its reasonable control (including natural disasters, widespread labor conflicts, war, authority actions, major cloud/telecom outages). The affected party will notify the other party without undue delay and resume performance as soon as reasonably possible.
14. Contractual modifications
BootandStrap may update these Terms for legal, technical, or product reasons. Material changes will be notified at least 30 days in advance. If the customer does not accept the changes, the customer may terminate before they become effective.
